The Professional Service Agreement
Welcome to webdesignerkolkata.in. These Terms and Conditions (“Terms”) govern your use of our website and our professional services, including but not limited to Basic Design, WordPress Development, Shopify E-commerce, and Custom React/Node.js solutions. By accessing our platform or engaging our services from our Alipore studio, you agree to be bound by these Terms.
In the digital landscape of 2026, transparency is the cornerstone of trust. Whether you are a small business owner in Behala or a corporate entity in Salt Lake Sector V, these terms ensure a clear, fair, and professional relationship between you (the “Client”) and us (webdesignerkolkata.in, the “Agency”).
1. The “Book Now – Pay Later” Framework
Our unique service model is built on mutual trust. However, to maintain the “Alipore Standard” of excellence, specific conditions apply to our risk-free builds.
1.1 Project Initiation
When you “Book Now” without an upfront payment, you are requesting a Staging Build. The Agency reserves the right to vet applications. We prioritize businesses with a clear vision, existing content, or an established presence in the Kolkata market.
1.2 The Staging Phase
The Agency will develop a functional version of your website on a private staging server. During this phase:
- Ownership: All code, design elements, and intellectual property remain the sole property of webdesignerkolkata.in.
- Access: The Client will be provided with a preview link but will not have administrative access to the backend or source code until the first milestone payment is cleared.
1.3 Approval and Finalization
Once the Client approves the staging site—confirming that the UI/UX and 100/100 PageSpeed meet the agreed-upon standards—the project moves to the “Handover” phase. At this point, the agreed-upon fee becomes due.
2. Scope of Services & Revisions
2.1 Service Tiers
Our pricing (starting from ₹7,000 for Basic to ₹1,50,000+ for Custom Apps) defines the scope.
- Basic Packages: Include standardized layouts and limited revisions.
- Premium/Custom Packages: Include bespoke UI/UX and iterative design cycles as specified in the project proposal.
2.2 Client Responsibilities
To meet our 5-day to 3-week delivery guarantees, the Client must provide:
- High-resolution logos and branding assets.
- Text content for all pages (unless “Content Writing” is added to the scope).
- Necessary access to third-party accounts (Domain registrars, Shopify logins, etc.).
3. Payment Terms & Financial Integrity
- Currency: All quotes are in Indian Rupees (INR) unless otherwise specified for international clients.
- Milestones: For large-scale projects (Corporate and Custom), payments may be split into “Approval of Design” and “Final Deployment.”
- Taxes: Prices quoted are exclusive of GST unless stated otherwise.
- Default: Failure to clear the final payment after approving the staging site will result in the immediate decommissioning of the staging build and the retention of all code by the Agency.
4. Intellectual Property & Ownership
4.1 Post-Payment Transfer
Upon receipt of full payment, the ownership of the website’s visual design and custom-written content is transferred to the Client.
The Exception: Any proprietary frameworks, pre-existing snippets, or third-party plugins used by webdesignerkolkata.in remain the property of their respective owners or the Agency under a perpetual usage license for the Client.
4.2 The “Expertise Hub” Rights
The Agency reserves the right to feature the completed project in its Expertise Hub as a case study. This includes displaying screenshots and the URL to demonstrate our experience in specific sectors (e.g., Real Estate in Rajarhat) or locations.
5. Hosting & Third-Party Services
- Performance Guarantee: Our 100/100 Page-Speed guarantee applies to our recommended hosting environments. If a client insists on using a low-quality, shared server in Howrah or elsewhere, we cannot guarantee performance scores.
- Third-Party Failures: The Agency is not responsible for outages caused by hosting providers, domain registrars, or API failures (like WhatsApp Business API or Google Maps API).
6. Maintenance & Annual Maintenance Contracts (AMC)
- Warranty: Every new build comes with a 30-day “Bug-Fix” warranty.
- AMC Scope: Our AMC (starting at ₹2,000/month) covers security updates and backups. It does not include major structural redesigns or the addition of entirely new sections, which will be quoted separately.
7. Limitation of Liability
In no event shall webdesignerkolkata.in or its developers be liable for:
- Loss of profit due to server downtime.
- Data loss on sites not covered by our AMC.
- SEO ranking fluctuations caused by Google’s algorithm updates (e.g., Core Web Vitals shifts in 2026).
8. Termination of Service
- By Client: The Client may terminate the project during the staging phase without penalty, provided no payment has been made. However, no files or designs will be handed over.
- By Agency: We reserve the right to terminate a project if the Client engages in abusive behavior, requests illegal content, or fails to provide necessary materials for more than 30 days.
9. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any disputes arising out of or in connection with our services shall be subject to the exclusive jurisdiction of the courts in Alipore, Kolkata.
10. Force Majeure
The Agency shall not be liable for any failure to perform its obligations where such failure is as a result of Acts of Nature (including fire, flood, earthquake, storm, or other natural disasters), war, invasion, act of foreign enemies, or significant internet outages in the West Bengal region.
